Introduction
Your Guide to your Investment.
If you have interest in becoming a potential equity holder of Proskillz Sports Performance, then it’s important that you understand the business plan fully. Every step of this current and future process is documented, and we welcome any feedback from current shareholders. This business plan is subject to change at any time. Before we dig deep into the whitepaper, let’s take a look at the overall analysis of the Sports Performance Market.
A Growing Market
According to Alliedmarketresearch.com, the global sports training market was valued at $11 billion in 2021 and is projected to reach $18.85 billion by 2031. The increased and continued demand comes from many global factors, but the top factor is people are becoming more aware of the benefits of sports training and athletic development. Young adults and older kids are continuously looking for that edge to be better than their competition and it’s an ongoing cycle as American athletes aim for being the best. Besides noticeable improvements in their sport, parents of young athletes are also seeing substantial benefits off the field and in the classroom. Increased confidence, increased concentration, and better problem-solving ability has also fueled the demand for sports training.
The Sports Market is segmented into 4 categories: Form, Sports Type, Application, and Age group. These segments not only help us target and market properly, but they also keep us updated with current market trends. Let’s take a look at each segment and how it relates.
The “Form” of Sport segment we provide is obviously training/coaching but for rehabilitation and recovery reasons we will also provide “therapy”. Even though “coaching/academy” dominates this field, we feel a physical therapist on staff is needed.
The “Sports-Type” Segment is a very important segment as it shows which athletes are more prone to signing up for services. Soccer dominates this market, but we believe it’s only because soccer has more resources available for their athletes. For example, here in Raleigh there is a huge soccer program with numerous partnerships and fields in the community. This program reaches a lot of soccer players but there isn’t one football facility in the city that caters to specific football players. This is just a prime example of why soccer is currently dominating the Sports-Type Market. This is probably our most important segment because it doesn’t really matter the sport. Our service is for all athletes looking to increase their overall sport skill through our services, but this segment does shows us who is not being reached. That’s where we will target first.
The “Age” segment shows that currently 21-35 year olds dominate the market with ages 35 and above expecting a significant growth in the next phase. All 3 groups on this segment are important with the “below 20” group being the lowest which means we can target there with youth programs. The 21–35-year-old group we should expect some have organic interest as they are currently dominating the market, but we can also expect and help the growth of the “35 and above” since we know this group has growth potential. Our training system is goal specific, and we have a program for all segments.
Our Place in the Market
With the expected and potential growth of this market we expect to grow right along with it. As stated before, the Proskillz Training System isn’t some cooker-cutter program that was born overnight. It took years to get it right then we got to a point where all of our clients were seeing awesome results with most receiving a chance to further their careers. That’s when we knew we were on to something and that’s when we knew it was time to expand.
From the way our trainers gradually learn to the design of each athlete’s program, everything is structured and progressive. The quality behind Proskillz already stands ground within the community and we expect exponential growth in the near future. Not only do we have the adequate experience of developing athletes, but our entire training philosophy was built off of the Exercise and Sport Science Program at the University of North Carolina-Chapel Hill. The EXSS department at UNC is one of the best in the country and we are fortunate to obtain this education to help further our Training System.
Along with quality services we will present a quality product. The organization and structure are what will set us apart. Our trainers will be the best, our facility will bring that WOW factor, and our programs will be second to none. Our current clients are already some of the best athletes in North Carolina and we will continue to develop smart, fast, strong, and mentally tough athletes. Click on link below to see how we have already made our mark in the community!

The Proskillz Training System
What makes us different.
If you’re unfamiliar with the Proskillz Training System, then here’s a quick rundown for you. We’ve developed a training system that helps athletes get faster, quicker, and stronger by doing specialized drills that we’ve created that targets specific muscles to perform explosive sport movements. Our current and past athletes have benefited greatly by increasing their linear and lateral speed, overall change of direction skills, footwork/footspeed, and sport specific skills that are needed to succeed at their sport. Every program is specialized to meet specific goals. The entire training system is structured and progressive where the athlete starts at Level I then work their way to Level III. After the athlete completes Level III programing, they obtain elite status and are noticeably different.
Tri-Level System
It all starts with the most important step which is the detailed assessment where we analyze bodily movements. This assessment will give us further information on our athlete’s current level and also how we place them within our program. A few things we look for during our assessment stage is neuromuscular control, overall balance/coordination, hip biomechanics, multi-directional agility, and technique. From these factors we can then develop a program to target the athlete’s weaknesses to progress them to the next level of training.
Level I programming is a developmental stage where the athlete will learn the basics and terminology of The Proskillz Training System. All components of the system are isolated where the athlete will be focusing on movements within that one component. This is an important step for young athletes to develop the proper muscle composition to advance but also an important step for re-starting any athlete after a detraining phase. Level II is has more application than Level I but still some learning is involved. This is where we start combining all components to trigger new motor memory. An example of combining components would be making the athlete complete a drill that has both agility and plyometrics opposed to just one. During this level is when we start to see a significant difference in skill. When an athlete reaches Level III programming, they are well aware of the entire Proskillz System and should be able to complete anything we challenge them with. This is also the Level where we add resistance to sport-specific movements and this level is complete application, no learning. After completing Level III programming, the athlete can be challenged more and will progress faster through solely Level III workouts.
Heart-Rate Focused
Developing a Heart-Rate based approach to Sports Training has worked wonders for us. Not only are our athletes more explosive, but they are also in better shape because they train the way they play. Once an athlete reaches Level III programming, they start wearing Heart-Rate Monitors so we can analyze their heart function while training. This not only helps with recovery, but it also helps us have a realistic view of what their heart looks like during the game. Each athlete will have a prescribed Heart-Rate zone they have to train in. This zone imitates real game-time adversity as we want to match what they do in the game so the muscles can be ready to perform under any condition. Data is displayed at all times and athletes get an emailed view of their workout results post session.
Results-Driven
We are all about results. It’s the only way we operate and we want to keep it that way. Getting each and every client the results they are looking to achieve helps our entire ecosystem survive and it’s safe to say we have already grounded ourselves on this policy. Developing a training system that works for everyone was the hard part but we did it. Our current and past clients are proof that anyone who completes all three levels of our system will see awesome results. It’s because every athlete’s program is different and targeted to meet their own personal goals. When client’s achieve specific goals, that brings us more business. When client’s reach big goals, that helps us market. When our clients succeed, we succeed. We are all results driven.

Profit Generation Plan
Complete Breakdown of how we will generate monthly income.
Before we get into the Profit Generation Plan let’s take a look at the projected expense report. All of these expenses are estimations and the only expenses we have right now are facility rental fees which we pay others to use their facility. This business plan is an expansion plan, so it entails us getting our own facility and operating out of it. When you get to the Stage II development plan below you will see the buildings that are of high interest to us. The expense estimations will be used from these resources. That being said our first and top expense will be our building lease. Our Profit Generation Plan must double or at best triple this fee which looks to be around $6000-$7000/month. Other than that, our expense report should be at a minimum as we don’t need much to operate other than space. After the initial startup expense report, only expenses after that would be just the overhead bills and facility upkeep. Here’s what our initial startup expense report details:
2100 sq. ft of Artificial Turf - ($5.50/sq. ft)- $12500-13500
3 Rogue R-3W Fold Back Racks (2 racks) - $1000
Power System Foam Plyoboxes - $1400/set
Misc. Equipment (cones, ropes, etc) - $600
Misc. Facilty Decor: $1000
Total Initial Startup Expenses: $16.500-$18,000
Contracted Employees
After the startup plan is complete, as stated before, monthly expenses will only be facility fees which should be around $6500/month. Now that you have a better understanding of the Expense Report let’s take a deep dive into how we will generate the income. First off, our trainers and employees starting out will be contracted positions where they actually pay rent to use our facility. We will be looking to hire 1 Physical Therapist, 1 Fitness Trainer, and 1 Sports Performance Coach. Each of these contracted employees will pay a facility fee of $700/month. We are basing this off of current facility rental rates in Wake County which averages around $600/month. Right now we are paying $500 rental for a facility that we currently use thats half the size and half the resources of our anticipated facility. When we need to rent the University of North Carolina’s indoor facility for group camps, we pay $200/hr. When we rented out different D1 sport training facilities, we paid $150/hr. Of course these facilities have more square footage but it gives you an idea of how much people actually pay. Considering the quality and resources The Proskillz Facility has to offer, $700/month seems pretty fair. With this plan, we should expect $2,100/month of revenue from our employees.
Group Training Programs
Our Group Training Program will be our main focus as Small Group Training has not only shown to give us great results, but the rates are also cheaper. The social interactivity with peers makes a great difference in some young athletes. This program is also a feeder for Private Training which costs more but has extra physiological benefits than Group Training. Both; group and private programs are subscription-based training where the client’s are locked in for a minimum of 3 months in order to get desired goals. We do have pre-paid packages, but subscription-based packages have more benefits. Groups rates will be a staple price of only $40/session with a maximum of 6 athletes in each group. We will segment groups by Sport so all athletes can progress toward somewhat the same goal with individual approaches. Groups will consist of baseball, women soccer, men soccer, football, lacrosse. Football will more than likely have 2 groups for youth and older athletes.
Private Training
Private Training is our most effective program as it gets athletes to their individual goals the fastest. Our Private rates will be a base rate of $65/session and comes in 3 different packages. Professional Athletes will range a little higher as they will need longer and more focused sessions. Professional Athletes will have custom packages as requested by agency/teams.
Merchandise and Apparel
Merchandise and Apparel is a critical part of any company. Our athletes can market and advertise our brand through products we sell them and we will have an online store for consumers to shop and experience our brand. Our marketing campaigns involve a lot of social media advertising so it’s important those videos stand with quality and class. Having all our athletes in appropriate uniforms not only shows organization but it gives us our identity. We will have a goal each month for merchandise and apparel sales. Each client will be required to purchase/wear their Proskillz Training gear.
Putting it All Together
Now that you understand our 3 main ways to generate income. Let’s put it all together as an example for you to see how this will work. We will base all the estimations off of minimums and exclude any professional athletes that will be doing seasonal training. We aim for sustained consistency with what works now and not later. For Group Training we should expect to have at least 5 groups (football, baseball, soccer, women’s soccer, lacrosse) with 6 athletes in each group. Considering how many teams are actually in Raleigh this may be a underreach but let’s just talk minimums. I’m sure we can generate more than 6 athletes in each of these sports. Each group will only train 2 times each week for a total of 8 sessions per month. For us, this comes out to 10 Group Sessions each week which is 40 sessions for the month. With each athlete paying $40/session, this comes out to a projected profit of $9,600 each month.
Private Training will add to these profits by filing slots in-between the Group Schedule. To keep everything at a true minimum let’s say our Private clients are paying an average of $60/session. Right now we are operating without a Home location with about 10 private sessions on our books each week. Considering we will have a home location let’s just add to that by projecting 15 sessions each week. At the $60 rate, this profit projection plan would come out to be $3,600 per month.
If we add the rental fees from our contracted employees with our group and private plans. This complete Profit Projection Plan will be an estimated amount of $15,300/month. With our projected monthly expense report being around $6,500; our profit estimations more than double our expenses. Remember, these are minimums.

The Proskillz Coin
Tokenized Equity that boosts our Ecosystem.
The Proskillz Coin is the gamechanger and will set the standard for bridging real-world transactions with blockchain technology. Being a major part of our foundation, PSKLZ has a unique use case that aids the growth of our company. Equity holders benefit greatly by receiving their share of real-world profits, but PSKLZ has other functions that benefit our ecosystem with the top function being club operations. There will be times when we will have expenses that relate to club activities. The Proskillz Coin can be used for those extra expenses, but all verified shareholders must vote and agree on the commitment. Once agreement is made, our Operations Wallet will sell PSKLZ on the market to help with these club expenses. All transactions are transparent and visible through our Ledger, and anyone can view our club wallets. This Governance Voting System is a great way for verified shareholders to be involved. All Shareholders will receive a Gold-Plated PSKL physical coin with a Certificate of Authenticity that is the value of their investment. This Real-World Coin can be used as proof of ownership and can be cashed out after their staking period.
The 10% Re-Distribution Protocol pays back any expenses plus more that was used through PSKLZ. Besides updated equipment and apparel orders there really isn’t much more that we would need. With minimal club expenses, more revenue will be distributed back to PSKLZ which will continue to raise the value of equity. Here’s an example of how this works:
Estimated Club Profits for 1 Month: $15,000
PSKLZ Re-Distribution: $1,500 to Equity Holders for that month.
To cover the club minor expenses, our Operations Wallet will sell PSKL on the market to cover that cost. Paying small club expenses this way not only helps keep our facility at the best quality, but it also helps our ecosystem by putting more PSKL coins on the market for new investors. Aiming for complete compliance with the SEC and North Carolina Money Transmitting laws, we will not be privately selling the Proskillz Coin. More than likely there will be months where we will not have any extra club expenses. Our hope is to not only maximize Club profits but to minimize Club expenses. The design and maintenance of The Proskillz Facility doesn’t take much upkeep as we need space more than equipment. Our Startup equipment should stretch us out to at least a year before updating and this plan will put more profits into PSKLZ. The more profits we make, the more our Equity Holder’s investment increases.

The Proskillz Certification is the backbone of our Company. When new trainers are hired, they must pass the Certification before starting any work. The Proskillz Certification will consist of a written and physical portion that consist of different aspects of the Performance Training and Human Science. Once the trainer passes certification, they will fully understand how to market and sell their services, assess new members, design athlete training programs, retain current clients and get awesome results the Proskillz way.
Once a trainer is officially certified under the Proskillz Training System, they will be required to complete yearly CECs (continuing education courses) to further their education.

Continuing to build brand awareness through different avenues will always be a focal point and using our current clients to advertise Proskillz is our top marketing tool. We plan to generate a bigger social media following by partnering with a Media Company to produce quality content on a weekly basis. Using insights from engagement will help us strategize and plan for further involvement.

Stage II Development
Finding Our Home
Find and Secure Our Space
We have a few promising prospects when it comes to finding a home for The Proskillz Facility. Finding the perfect space is not only about location, we need to find the right amount of space to suit all of our needs but also to stay within our monthly leasing budget. The main attraction of our facility will be the indoor turf field so looking for space with a wide-open floor plan was a must. We do need office areas for consultations, physical therapist workspace, trainers’ office, and other services we may decide on. With these amenities in mind we have come across a few spaces that fit exactly what we need. Lets take a look at this properties below:
Merrit Capital Business Park:
Total SF Available: 3,300 SF
Available: June 2023
Moffat Property:
Total SF Available: 5,000 SF (Build to Suit)
Price: $7 per Square Feet (negotiable)
Available: Oct. 2023
2. Design Facility
When people walk into The Proskillz Facility we want to give them that “WOW” factor. The WOW factor goes a long way and gives our clients the intangible feeling that makes them feel fortunate to be a part of Proskillz. Everything from the indoor field, locker room, offices, sitting area, and reception area must hold a level of class and quality. Our spotlighted decor in the common areas will be framed jerseys of past clients because nothing speaks volumes more than seeing what our program has produced. The two most important areas to design will be the Turf Field and the Locker Rooms. Starting out we will just stick with basic bathroom/lockers rooms until we generate enough profit to upgrade our locker rooms. This will not be a part of the startup plan, but we should be able to support this expense soon after opening.
We understand the importance of having locker rooms for the athletes to feel comfortable and at home. To maximize space, we will only have 6 lockers in each bathroom. These lockers will line the wall and have installed seats to maintain a open layout. Here is a picture of the UNC Football locker room as this is somewhat what we are going for. We want our clients to love their facility and having a modern locker room will only help with sales and retention.
The Turf Area is where the money will be made. Even though our warehouse space isn’t as big as a true field, it gives us enough space to maximize profits from small group classes and private training services. We are in contact with a few turf providers and will update this section when we find the company we will use. Meanwhile, this picture of a D1 facility will give you a glimpse of what our indoor field will look like. Most fields are traditionally green but as stated before, we are going for that authentic “wow” factor, so we decided to go with Carolina Blue turf with white lines and white wall padding. No one has this setup, and it will also make great marketing material through pics and videos. The wall padding looks to be our biggest expense but is mandatory. The pic below of the D1 facility looks to be about the same sized field as ours without the posts. Just imagine the walls white with light blue turf.
One wall will be completely blank as it will be used as a projector screen. While athlete’s workout, we will display visuals on the wall as the session goes. We will also use the projector sometimes for film review to adjust bodily movements. Besides the turf and wall padding, the only thing needed next will be the Rogue Fitness T-Racks for weightlifting. The Rogue T-Rack is perfect as it folds in against the wall and is out of the way when not in use. We are looking to purchase 3 T-Racks for our Strength Classes.

Stage III Development
Making Our Mark
Strong Marketing Plan
Nothing will keep us afloat more than our marketing strategies and execution plan. Demographics and Segmentation is a great start but targeting certain audiences with specific content is a huge part of the connection we will have with prospects. Good thing is, we are dealing with athletes, and they are the most marketable assets out there. Our top marketing strategy will be our workout highlight videos because these videos not only show what our system is all about, it shows the Proskillz Experience. This is where our facility design comes in play, and this will be the image we leave with people. Our goal here is to partner with a media company to produce our videos on a weekly basis. Using social media platforms, we can target demographics by boosting our content to whatever area we choose. The more social media followers we obtain, the more leads we will have.
Using the Proskillz brand on apparel has always been a great marketing tool for us. We have partnered up with Aardvark Printing in Raleigh to produce some really great looking shirts and we plan on expanding our apparel line for online and in-store purchases. All athletes are required to wear Proskillz Apparel in their workouts as this gives us more range to advertise products with services.
Sponsorship Opportunity
Securing a sponsorship deal for Proskillz is probably our biggest step of the Stage III Developoment. Sponsorships not only add value to the company, but they give us a certain identity that benefits both parties involved. Sponsors love athletes and now with NIL deals, athletes are seeing the benefits of obtaining smart sponsorships. Our first sponsorship we will try to secure for Proskillz will be PUMA. Nothing is guaranteed and we have a lot of work to do to even be considered but we will get there. We are confident that our values align with PUMA and our product has a place in the Sports Training Market. Verified Shareholders must vote on all sponsorship opportunities before any deals are completed. Besides securing a Sponsorship for Proskillz, we will also welcome any request from Sponsors about our athletes. For example, right now we have an All-American football player that sponsors would love. We can and will secure deals where they sponsor certain athlete’s media content, or we may actually shoot a training commercial where we advertise the sponsors products. These are just three examples of how we can use sponsorships to help us grow as a company.
Expand on Staff
Our trainers are not called trainers, they are Performers. The distinct difference between the two is Performers actually “Perform”. Proskillz Performers will not only be certified by the book, but they will also be certified by movements. Each and every Performer must be able to perform all movements from all three levels. We understand the psychology behind using sensory units to learn motor skills so it’s important that our clients see first-hand how to do it every time. We will have Levels to being a Performer that aligns right along with our Progressive Training Program for clients. We have Level I Performers, Level II Performers, and Level III Performers. Each level will only train their respective group. This format helps us keep our current Performers advancing while making space for a New Level I Performer to begin. Once a Performer reaches Level III, they can lead all three levels of athletes. Level 1 Performers will take on new introductory clients that are just starting a program. Level II Performers take on clients that are advancing from Level I. We will only look to bring on New Performers when needed. Filling up our current Performer’s schedule is our first goal.
08
Company Values
Our Foundation.
Trust, Loyalty, and Quality
Trust goes a long way in any industry but there are levels of trust that we must follow. First, we must understand and keep the focus that our athlete’s goals are top priority. None of this is possible if we aren’t getting our client’s life-changing results. We need their trust more than anything. Our client’s right now trust us with their development and have been for years. No matter what location, time, or day, they are there to train. This consistency is why we’ve developed 2 All-Americans, 4 All-State, about 20 All-Conference players, and numerous players advancing to college to further their careers. Their parents trusted the program and they trusted our process, even without a facility. In our North Raleigh and North Carolina Community numerous Coaches trust our program as well. They send us players all the time and this type of trust leads to organic growth. Once we get our facility, we will be the ONLY company that people will trust for quality athletic development.
Our next level of Trust will be from our Performers. They must trust us to guide them to becoming qualified professionals while giving them the best facility to work on their craft. Our Certification will give them everything needed to get started and this will be the foundation of that trust. We trust that our professionals will lead their clients to athletic success because we value what the Proskillz Certification teaches. Once the Performer completes their Certification, they have our complete trust and support every step of the way.
Verified Shareholders are a huge part of Proskillz. Our foundation started with them, and we appreciate their support greatly. Our level of trust with Shareholders goes beyond the facility as they trust us with their investment. Keeping our trust with Shareholders holds us to a certain standard of professionalism that they love to represent. Our Verified Shareholders have close access to a lot of what we do as a company, and they are well-involved if they choose. As stated before, Verified Shareholders have a lot of benefits where they can interact in with us in Real-Life. Monthly virtual meetings are a great way to continue building our trust by keeping everyone on par with all developments. Our Equity ledger is available for anyone to see at all times and our club reports are available for Verified Shareholders to view. Transparency is a must, loyalty is trust, and Quality is a must.
This is Proskillz.
